WHISTLEBLOWING POLICY AND PROCEDURES

Purpose
SDE’s whistleblowing policy outlines procedures for reporting any misconduct involving So Drama! Entertainment (SDE) employees, partners, contractors, vendors, or suppliers without fear of reprisal. To uphold strict corporate governance, SDE provides a platform to report misconduct, illegal activities, or failures to act.


Disclosures
Whistleblowing disclosures could include, but are not limited to: 
  • Unlawful disclosure and/or dissemination of the company’s confidential or proprietary information, know-how, and trade secrets 
  • Misappropriation of the company’s properties (e.g., funds, equipment, log-in details, password(s), using the company’s properties for his/her own benefit or any unlawful purpose(s) 
  • Actions causing injury to person or loss or damage to SDE’s property. 
  • Sabotage of SDE’s IT system 
  • Workplace corruption (i.e., bribery, fraud, embezzlement, and/or extortion) 
  • Fraud (e.g., alteration of company’s records, data, accounts, or financial-related information; submission of false claims for reimbursement of expenses; failure to account or misuse of company’s monies in possession.) 
  • Engaging in activities that are prohibited by law; or in breach of any legal or contractual obligations, or pose a danger to the health and safety of others and/or the company and the environment 
  • Unlawful or unethical conduct, such as the use of violence and threats, bullying, bribery, or acceptance of monies, gifts, or monetary benefits in exchange for personal favors; making remarks that are defamatory or cause disruption to racial harmony or the company’s business operations 
  • Verbal and/or sexual harassment 
  • Downloading and sending of information and/or data that infringes third-party copyright and trademark; information that is derogatory or offensive to a third-party that causes misrepresentation of the company 
  • Conflict of interest without disclosure. (e.g., A romantic relationship between a superior and his/her subordinate) 
  • Breach of the Personal Data Protection Act 

Reporting Channel
Whistleblowers should report concerns in good faith. Personal grievances will not be treated as whistleblowing cases. Any legitimate concerns or issues reported will be recognised and handled with utmost confidentiality throughout the procedure.

The whistleblower's identity and contact information will remain confidential unless legally required to disclose them to specific parties like the Audit Committee, auditors, forensic experts, police, or the Corrupt Practices Investigation Bureau.


For effective investigation, whistleblowers must provide detailed information such as names involved, incident descriptions (date/time/location, frequency, actions/behavior, money or assets involved), and any physical evidence.
